Manager - Legal


About the Job

The Legal Manager will be responsible for handling a wide variety of commercial agreements, focused on the Retail, Sourcing, Marketing and other departments. He / She will be primary point of contact for day-to-day resolution of contract issues and dispute communications with various internal and external stakeholders. He / She will also be responsible for company law compliance, IPR and overall legal aspects.


Role & Responsibilities

  • Support all corporate, real estate and operations related transactions of the Company with documentation and negotiation
  • Individual contributor, responsible for conducting complex agreement negotiation, drafting,  preparation, monitoring, and termination activities in line with the business needs, specifically related to
    • Retail (Lease agreements, Mall agreements, Franchise agreements etc),
    • Sourcing (vendor agreements, NDA etc),
    • Marketing (for online & Offline marketing initiatives),
    • Other departments (Agreements as required)
  • Review, assess, and mitigate financial and legal implications to the company in accordance with the terms of the contract.
  • Analyse and evaluate requests for modification to existing terms and conditions, including commercial adjustments, making sound recommendations to the appropriate internal business partner(s).
  • Analysing and approving requests for termination based on terms and conditions of existing contract, ensuring that the financial and renewal/cancellation obligations of the contracts are clearly understood and administered.
  • Proactively resolving legal issues and providing solution to avoid litigation.
  • Assisting in litigation with respect to the technical, corporate and commercial legal issues
  • Handling employee / HR matters with respect to labour law / statutory requirements in conjunction with HR.

  • Manage legal issues related to IPR, trademark protection, data protection, Non-disclosure and privacy issues.

  • Will be responsible for company law related matters, specifically, statutory compliance with company law, FEMA, ROC, secretarial compliances and other general corporate legislation.

Desired Experience and Skills

Education : LLB / LLM from a reputed college, additional CS qualification will be an advantage

Years of Experience : Minimum 6-8 Years of Industry experience, most preferably from retail / Mall operators.


Should have :

  • Excellent experience in drafting / vetting commercial agreements especially related to Lease agreements, Mall agreements, Franchise agreements, vendor agreements etc. Should be able to draft agreements/notices independently taking into account
  • Strong Communication skills – Extremely Proficient in written and spoken English
  • Strong computer skills in usage of various tools in MS-Office and Internet
  • Good eye for detail
  • Technical understanding of the Company Law, IPR, Labour law and regulations.
  • Should be able to interface effectively with business and operations on all legal matters
  • A high level of professionalism which is required on the job at all times
